Company formation in the UAE is easy to buy and hard to live with. A licence that cannot open a bank account, a free zone that does not match the activity, or a structure that fails ESR and UBO a year later is not a saving. Since 2024, CA Audit Dubai has formed companies as the first chapter of a file we expect to keep: books, tax, and — when required — audit. We will tell you when mainland is the honest answer, when DMCC or JAFZA fits the trade, and when an offshore company is the wrong souvenir.

Mainland, free zone and offshore setup

Mainland LLC formation through Dubai DED (and, where the activity sits, the northern emirates) includes activity selection that a bank and the FTA will recognise, not a decorative licence. Free-zone setup is handled for the zones we actually file with, including DMCC, JAFZA, IFZA and SHAMS — each with different office, visa and audit habits. We do not pretend they are interchangeable. Offshore incorporation is for holding and specific non-resident structures; it is not a way to skip VAT or Corporate Tax if you are in fact operating in Dubai. The first meeting is a structure conversation, not a price list.

Licensing, PRO and visas

Trade-licence application and renewal is the recurring work most “formation” shops forget. We diary the date, assemble the audit pack where the zone requires it, and file. PRO services and government liaison cover immigration typing, medical, Emirates ID and the desks that still need a person in the building. Employment and investor visas are processed against the quota and the establishment card you actually have — we will not promise a visa the licence cannot carry.

Banking, UBO and ESR

Corporate bank-account opening support means a file a compliance officer can read: licence, MOA, UBO, invoices or a business plan that matches the activity. We introduce; we do not guarantee a yes. Ultimate Beneficial Owner filings and Economic Substance Regulation support sit with the same office so the story you told the zone is the story you tell the Ministry. If you have no relevant activity, we file that. If you do, we do not invent substance on paper.

Which is better — mainland or free zone?

It depends on where you trade, whom you invoice, and whether you need a visa quota or a specific customs gate. Mainland is often the honest answer for onshore work in Dubai. DMCC, JAFZA, IFZA and SHAMS each solve a different problem. We will not sell a zone because it is on promotion this month.

Can you guarantee a corporate bank account?

No reputable practice can. Banks apply their own KYC. What we can do is assemble a file that matches the licence and the activity, and introduce you with that file complete. Incomplete formation is the usual reason a new company is turned away.

Do free-zone companies still need ESR and UBO filings?

UBO requirements apply widely. ESR depends on whether you carry on a relevant activity. Free-zone status is not a blanket exemption. We review the licence and the actual business before we tell you what to file.

Will you keep the accounts after formation?

That is the point of using a chartered office. Formation without a bookkeeping and tax plan is how companies arrive at year two with a licence they cannot renew. Ask for a combined engagement if you want the same desk on both.
